It is expressly agreed that all use of UPTOWN FITNESS facilities and any transportation provided by UPTOWN FITNESS shall be undertaken by a member or guest at his/her sole risk. UPTOWN FITNESS shall not be liable for any injuries or any damage to any member or guest, or the property of any member or guest, or be subject to any claim or demand for any such injury or damage including, without any limitation, those damages resulting from acts of active or passive negligence on the part of UPTOWN FITNESS, its officers, employees, independent contractors, partners or agents. The facilities and activity programs offered by UPTOWN FITNESS have been designated and established to provide the optimum level of beneficial exercise and enjoyment. Because of the nature of the programs available at UPTOWN FITNESS and the equipment which is an integral part of many of these activities, there is an inherent risk of injury which characterizes any exercises, utilizing the equipment, or taking advantage of the various other facilities at UPTOWN FITNESS. UPTOWN FITNESS would enlist Applicant’s assistance in assuring that the facilities and the equipment are utilized in a proper manner so that those inherent risks which exist under the control of UPTOWN FITNESS as well as those outside the control of UPTOWN FITNESS and partially within the control of each individual participant are minimized by the participant’s thoughtful and cautions use of both the equipment and the facilities in general.
For and in consideration of the mutual promises and agreements contained herein, the Applicant hereby acknowledges the existence of certain risks inherent in the activities which take place at UPTOWN FITNESS and, if granted a membership to UPTOWN FITNESS, hereby agrees to assume the full risk and responsibility for any injury he/she may sustain in the course of his/her use of UPTOWN FITNESS facilities and/or equipment. Specifically, the undersigned hereby accepts full responsibility for, and hereby waives any claim he/she may have against UPTOWN FITNESS for any injury to his/her person or property arising from or related to any activity conducted at or sponsored by UPTOWN FITNESS. In addition, the undersigned hereby accepts full responsibility for, and hereby waives any claim he/she may have against UPTOWN FITNESS for, any injury to his/her person or property arising from his/her use of UPTOWN FITNESS facilities in general, including, but limited to, UPTOWN FITNESS locker rooms, dressing rooms and shower rooms.
UPTOWN FITNESS shall not be responsible or liable to members or their guests for articles damaged, lost or stolen in or about UPTOWN FITNESS, or in lockers, or for loss or damage to any property, including, but not limited to, automobiles and the contents thereof. Members and guests of members who bring their children to UPTOWN FITNESS during the specified times further agree to accept full responsibility for the safety and well being of their children and agree to maintain control and discipline over their children while they are at UPTOWN FITNESS.
Having read the preceding, the undersigned, for himself/herself and on behalf of his/her executors, administrators, heirs, assigns and successors, acknowledges his/her understanding of those risks set forth herein, knowingly agrees to accept full responsibility for his/her own exposure to such risks and does hereby expressly forever release and discharge UPTOWN FITNESS, its owners, officers, employees, agents, assigns and successors from all such claims, demands, injuries, damages, actions or causes of action. In addition, the undersigned hereby agrees to indemnify UPTOWN FITNESS, its owner, officers, employees, agents, assigns and successors for any and all costs, liabilities and losses arising from the undersigned’s or the undersigned’s invitee, injury at UPTOWN FITNESS.

Uptown Fitness membership will be effective and billed starting February 1st, 2018.
Section 1. Payment of Initiation Fee. All new members shall pay an initiation fee to UPTOWN. The amount, manner an time of payment of such fee shall be established by UPTOWN and may be changed from time to time. Except as herein provided, no portion os such fee will be refunded.
Section 2. Membership Fees. UPTOWN shall, from time to time, determine the amount and and terms of membership fees which shall be payable by the members. The obligation to pay fees is not dependent upon the availability of all UPTOWN facilities. For example, tournaments, repair maintenance, special events, and/or other occurrences may make it necessary for UPTOWN to restrict use of one or more of its facilities or to temporarily close UPTOWN. Membership fees will not be reduced or suspended during the time when one or more of UPTOWN facilities are not available for use by UPTOWN members.
Section 3. Charges. UPTOWN shall, from time to time, x the amount and terms of payment charges for goods, se ices and use of UPTOWN facilities by members and guests.
ARTICLE IV. TERMINATION OF MEMBERSHIP
Section 1. Voluntary Resignation. A member may resign from UPTOWN by giving thirty (30) days advance written notice to UPTOWN, surrendering his/her membership card, and paying any fees or other charges which the member incurred. Such voluntary resignation shall not be deemed effective until after the expiration of the thirty (30) day notice period, receipt of the member's membership card, and a er all required payments have been made by the member to UPTOWN. Subsequent to his/her voluntary resignation, a member shall not be subject to any fu her fee or other charges. Prepaid dues beyond the thirty (30) day period are non-refundable.
Section 2. Involuntary Termination. UPTOWN reserves the right at any time to terminate the membership, or any privileges granted there under, of any member for failure to comply with any of the rules or regulations· adopted by UPTOWN, or for any conduct UPTOWN determines, in its sole discretion, to be improper or in any way inimical to the best interests of UPTOWN. The membership may be terminated by a written notice cation mailed by UPTOWN to the last address shown on UPTOWN membership records. That terminated member will be required to promptly return his/her membership card to UPTOWN. A terminated member will remain liable for all fees and other indebtedness included prior to receipt of the membership card by UPTOWN. The membership of any member who is sixty (60) days in arrears with respect to the payment of his/her account to UPTOWN may, at the option of UPTOWN management, be terminated.
Section 3. Reinstatement of Membership. Former UPTOWN members, who voluntarily discontinue their membership, may reinstate their membership by either;
a) submitting membership payment to cover the lapse in membership from their previous membership period to current date; or,
b) by paying the reinstatement fee in accordance with the rules and regulations of UPTOWN.
Members expelled or canceled due to unpaid charges and dues may request reinstatement of membership a er all balances outstanding at the time of expulsion or cancellation, including back dues, are paid in full. Reinstatement fees apply in accordance with the rules and regulations of UPTOWN.
Rules & Regulations
Section 1. Registration. Guest must check in and present their guest pass card each time they use any of UPTOWN FITNESS facilities.
Section 2. Guests. Guests may use UPTOWN FITNESS only when accompanied by a member and must register at the front desk each time they use the facilities. UPTOWN FITNESS reserves the right to limit the number of guests a member may sponsor, and the number of visits a guest may make. Members of UPTOWN FITNESS are responsible for the appropriateness of attire and conduct of their guests.
Section 3. Attire. Proper workout attire is required, including shirt and athletic footwear for participants using UPTOWN FITNESS. The management may prohibit the use of any equipment. No street clothes are permitted in any workout areas.
Section 4. Damages. Any damage to UPTOWN FITNESS property by any member or member’s guest shall be paid by the member.
Section 5. Hours. UPTOWN FITNESS operating hours are: Weekdays 5:00 a.m. – 9:00 p.m., Saturdays 7 a.m. - 2 p.m., and closed Sundays. UPTOWN FITNESS will either be closed or will be open reduced hours on holidays. UPTOWN FITNESS hours may be changed from time to time.
