These Terms of Service (the “Terms”) are an agreement between you and Member.Life governing your access to and use of the Member.Life platform, websites, and mobile applications (the “Service”). By creating an account, operating as a client on Member.Life, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of a business, you represent that you have authority to bind that business, and “you” refers to that business.
Subject to these Terms, Member.Life grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for managing your business and its memberships. You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract the source code of the Service, and you may not resell or sublicense the Service, except as permitted in writing by Member.Life.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information about you and your business and to keep it up to date. You are responsible for the content you upload to the Service and for your compliance with laws that apply to your business, including consumer protection, tax collection and remittance, and the handling of your customers’ personal information.
You agree not to misuse the Service, including by: using it for any unlawful purpose; infringing the rights of others; interfering with or disrupting the Service; attempting to access accounts or data that do not belong to you; or transmitting malicious code. Member.Life may suspend or terminate accounts engaged in misuse.
Passing processing and Member.Life fees for Unity Is Wealth on Member.Life is a service provided by Member.Life. By agreeing to these Terms or continuing to operate as a client on Member.Life, you agree to release Member.Life from any and all liabilities of passing the processing and Member.Life fees to your end customer.
Unity Is Wealth end customer disputes cost $15 per dispute and take up to 60 days to get the disputes resolved. The Unity Is Wealth end customer disputes arising shall be resolved under this clause which breakdown to total package price + $15 dispute fee; the total package price + $15 dispute fee gets charged to Unity Is Wealth account and only gets returned in full, if Unity Is Wealth wins the dispute. In the case of Unity Is Wealth losing the dispute claim, the package price gets returned to Unity Is Wealth’s end customer and Unity Is Wealth forgoes the $15 dispute fee.
Payment processing services for Unity Is Wealth on Member.Life are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these Terms or continuing to operate as a client on Member.Life, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Member.Life enabling payment processing services through Stripe, you agree to provide Member.Life accurate and complete information about you and your business, and you authorize Member.Life to share it and transaction information related to your use of the payment processing services provided by Stripe.
The Service allows you to connect optional third-party services to your account, such as payment processing by Stripe, accounting export to Intuit QuickBooks, and calendar and sign-in services from Google and Apple. Your use of a third-party service is governed by that provider’s own terms and privacy policy, and you are responsible for your relationship with that provider. By connecting a third-party service, you authorize Member.Life to exchange the information reasonably necessary to provide the integration — for example, transmitting your sales, refund, and fee summaries to the QuickBooks company you connect. You may disconnect an integration at any time from your account settings. Member.Life is not responsible for third-party services, their availability, or how they handle your data once transmitted at your direction.
You retain ownership of the content and data you submit to the Service. You grant Member.Life a license to host, store, process, and display that content as needed to operate and improve the Service and to provide integrations you enable. The Service itself, including its software, design, and trademarks, is owned by Member.Life and its licensors and is protected by intellectual property laws.
Member.Life’s collection and use of personal information is described in our Privacy Policy. By using the Service you consent to that collection and use.
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Member.Life does not warrant that the Service will be uninterrupted, error-free, or secure. Reports and accounting exports are provided for your convenience and do not constitute accounting, tax, or legal advice; you are responsible for reviewing your books with a qualified professional.
To the maximum extent permitted by law, Member.Life will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to your use of the Service. To the maximum extent permitted by law, Member.Life’s total liability for any claim arising out of or relating to the Service is limited to the amounts you paid Member.Life for the Service in the three months preceding the event giving rise to the claim.
You may stop using the Service at any time. Member.Life may suspend or terminate your access to the Service if you materially breach these Terms, if required by law, or upon reasonable notice. Sections of these Terms that by their nature should survive termination — including ownership, disclaimers, limitations of liability, and outstanding payment obligations — survive termination.
Member.Life may update these Terms from time to time. The updated Terms will be posted on this page with a revised date, and continued use of the Service after they take effect constitutes acceptance of the updated Terms.
